Nakupuna Federal is seeking an Intellectual Property (IP) Attorney to support legal and strategic initiatives related to the Department of Defense (DoD) Enterprise Software Initiative (ESI). This role is essential to protecting the organizations and clients’ intellectual property interests as they relate to software licensing, procurement, and custom training development. The attorney will serve in a support capacity, providing legal oversight and expertise to ensure that training content and related materials are compliant with applicable laws, DoD policies, and licensing requirements, while helping mitigate legal risk and support defensible, policy-aligned instruction.

This role is essential to protecting the organizations and clients’ intellectual property interests as they relate to software licensing, procurement, and custom training development. The attorney will serve in a support capacity, providing legal oversight and expertise to ensure that training content and related materials are compliant with applicable laws, DoD policies, and licensing requirements, while helping mitigate legal risk and support defensible, policy-aligned instruction.
Responsibilities

- Provide legal and strategic guidance on intellectual property, licensing, and data rights issues related to the design, development, and delivery of training under the DoD ESI program.
- Advise internal teams on legal considerations when creating or modifying training content, ensuring compliance with relevant statutes, federal acquisition regulations (FAR/DFARS), and DoD policies.
- Review training materials and proposed educational content to ensure appropriate treatment of proprietary, licensed, or protected information.
- Identify and mitigate legal risks associated with the use of third-party software, content, and commercial technologies (including SaaS, cloud, and Generative AI) in training programs.
- Serve as a legal advisor to cross-functional teams including curriculum developers, acquisition specialists, and technical experts to ensure alignment with DoD intellectual property guidance.
- Support internal policy development related to IP and technology use in training contexts.
- Stay current on federal legal and regulatory developments that impact software licensing, IP rights, and public-sector training initiatives.
- Advise on legal implications during stakeholder engagements, particularly when discussing procurement strategies or the value proposition of DoD ESI, DON ESL, and CETA vehicles.
- Collaborate with program leadership to support defensible, policy-compliant messaging within training environments.
Skills/Qualifications:
- In-depth knowledge of intellectual property law, including copyright, trademark, and data rights.
- Familiarity with federal acquisition regulations (FAR/DFARS) and DoD software licensing policies.
- Strong legal analysis, risk assessment, and advisory skills.
- Clear communication style with the ability to translate legal guidance to non-legal audiences.
- Experience supporting cross-functional project teams in regulated environments.
- Ability to work independently and balance multiple priorities.
- Juris Doctor (JD) from an accredited law school
- Active membership in good standing with a U.S. state bar
- 4–6 years of experience practicing intellectual property or government contracts law.
- Experience advising on software licensing and data rights in federal or DoD environments.
- Familiarity with DoD or federal training initiatives related to IT procurement and compliance.
Location: The position is primarily based at Nakupuna facilities in Arlington, VA; however, the candidate is expected to support up to four in-person training events annually in San Diego, CA, or Washington, D.C.
