Job Description Technology Commerce – Senior Associate Attorney / Of Counsel – | $345k+ | Dallas, TX, Palo Alto, CA, Seattle, WA (Hybrid) A leading law firm is seeking an experienced Technology Commerce Attorney (Associate or Of Counsel) with at least five years of experience to join its Corporate Group. This is an exciting opportunity to work on sophisticated, high-impact transactions at the intersection of intellectual property and corporate law. About the Role The attorney will play a key role in: Advising on IP aspects of major corporate transactions, including mergers and acquisitions, public offerings, and financings. Structuring, drafting, and negotiating a wide range of IP and commercial agreements, such as licensing agreements, service agreements, development agreements, and distribution agreements. Strategic partnering agreements You’ll work closely with leading companies and emerging innovators across multiple industries, tackling complex issues involving cutting-edge technologies and IP commercialization strategies. About the Practice The Technology Commerce practice is part of the firm’s Corporate Group, supporting transactions across all industry sectors. The work focuses on the development, transfer, and use of intellectual property assets, helping clients navigate deals involving the latest emerging technologies. What We’re Looking For The ideal candidate will bring: 5+ years of experience in handling the IP components of corporate transactions (M&A, public offerings, financings). Drafting and negotiating IP and commercial agreements. Excellent writing skills and strong attention to detail. A collaborative, team-oriented mindset. Curiosity and enthusiasm for learning and working on evolving technologies. JD, licensed and in good standing with the California, Washington, or Texas state bar.
