Active Bar Admission

California , in good standing.
58 years
of substantive experience
representing large-cap and mid-cap companies (link removed)>
Capital Markets & SEC Reporting Focus:
Experience advising on
periodic reporting ,
proxy statements , and
Section 13 and Section 16 filings (link removed)>
In-depth understanding of the
Securities Act of 1933 ,
Exchange Act of 1934 , and listing rules for
NYSE and Nasdaq (link removed)>
AmLaw 100 or similar large law firm background
preferred (link removed)>
Demonstrated ability to serve as a
trusted advisor
to corporate clients on
SEC ,
governance , and

Key Responsibilities
Public Company Advisory:
Counsel clients on securities law compliance, corporate governance best practices, and exchange requirements.
Disclosure & Reporting: Draft and review
10-Ks, 10-Qs, 8-Ks, proxy statements ,
Section 13/16 reports , and related filings.
Corporate Governance:
Advise boards of directors, committees, and executives on governance structures and risk management.
Capital Markets Transactions:
Support public offerings and private placements as needed, including drafting offering documents and related disclosures.
Cross-Practice Collaboration: Work closely with M&A, executive compensation, and regulatory teams on integrated client matters.
Stay current
on evolving legal and regulatory developments affecting public companies, especially within life sciences and tech.

Compensation & Benefits
Competitive Compensation : Annual base salary is expected to range from
$365,000
$435,000 , depending on experience, qualifications, and market factors. Discretionary
bonus
