58 years

of substantive experience

advising on capital markets and securities transactions (link removed)> Securities Law Expertise : In-depth understanding of the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC regulations.

Corporate Governance : Experience counseling public companies on corporate governance, disclosure obligations, and compliance matters.

Demonstrated experience advising

investment banks ,

issuers ,

underwriters , or

investors

in

public and private offerings of debt and equity securities (link removed)> Ability to manage multiple matters in a fast-paced environment with a client-focused, solutions-oriented approach.

Soft Skills: Strong writing, communication, and interpersonal skills. The ideal candidate works well on a team and has an entrepreneurial spirit.

Key Responsibilities

Transaction Management : Lead and support capital markets transactions, including IPOs, follow-on offerings, private placements, and Rule 144A offerings.

Disclosure & Compliance: Advise clients on disclosure obligations, SEC reporting, and stock exchange requirements.

Public Company Counseling : Provide strategic legal advice on securities law compliance and corporate governance best practices.

Document Drafting : Prepare and review finance and restructuring documents, offering documents, registration statements, proxy statements, and other securities filings.

Client Engagement : Develop and maintain strong, trusted relationships with a broad range of clients, from emerging companies to established public corporations.

Compensation & Benefits

Highly Competitive Salary:

$260,000

$455,000 , commensurate with experience.
