Overview
The role of legal counsel in healthcare organizations is to provide strategic advisory services regarding regulatory compliance, contract negotiation, and risk management. HIPAA and other healthcare laws such as the Affordable Care Act and Stark Law; development and review of employment agreements, contracts, and M&A documents
Dispute resolution and litigation support, including representation during legal proceedings and defending against healthcare fraud and abuse allegations
Strategic partnerships, mergers, and acquisitions: due diligence, contract terms, tax-efficient structures, and post-merger integration
Compliance program development: training, process management, and deployment of compliance management software to monitor regulations and generate documentation
Cybersecurity risk management: incident response planning, risk assessments, and collaboration with IT and security teams to strengthen defenses
QUALIFICATIONS
Experience or expertise in healthcare law, with knowledge of HIPAA, ACA, Stark Law, and related regulations
Ability to draft, review, and negotiate employment agreements, contracts, and M&A documents
Experience with due diligence, contract negotiation, and regulatory approvals (e.g., Medicare and state health departments)
Capability to assess and mitigate compliance risks, implement training programs, and support the use of compliance management software
Strong communication and ethics, with ability to interface with clinical teams, executives, and external partners
ADDITIONAL CONTEXT Dispute resolution, ADR methods such as mediation and arbitration, and involvement with hospital ethics committees may be used to address patient care conflicts in line with clinical and organizational standards. The role supports patient-provider relations and addresses social determinants of health through medical-legal partnerships.
