About the Role

The Corporate Attorney will play a key role in advising clients on complex corporate and securities law matters. This position is available at the Associate level (approximately 8 years of experience) or at the Counsel or Senior Counsel level (approximately 12+ years of experience). The role involves handling sophisticated transactions, regulatory compliance, governance, mergers and acquisitions, and securities filings. This is an opportunity to serve as outside general counsel to a diverse client base, including privately held companies, small to mid-cap public companies, and high-net-worth individuals, while collaborating across multiple practice areas. Responsibilities Lead and manage complex corporate and securities transactions from negotiation through closing
Advise on entity structuring including LLCs, S-Corps, and C-Corps
Draft and negotiate shareholder agreements, operating agreements, and joint venture agreements
Handle mergers, acquisitions, and dispositions for private and public companies
Provide counsel on equity and debt financings, IPOs, and reverse mergers
Oversee corporate governance, SEC filings, and regulatory compliance
Serve as outside general counsel for privately held and mid-cap public companies
Partner with litigation, intellectual property, real estate, government relations, and other practice groups to deliver integrated client solutions
Qualifications Juris Doctor (JD) degree from an accredited law school
Admission to practice law in New York State
8 or more years of experience in corporate law with a focus on securities, M&A, and governance
Demonstrated experience managing complex transactions from start to finish
Strong knowledge of SEC filings, public company compliance, and corporate finance
Excellent drafting, negotiation, and communication skills
Desired Qualifications 12 or more years of corporate law experience for Counsel or Senior Counsel consideration
Prior experience advising high-net-worth and ultra-high-net-worth individuals on corporate structuring and transactions
Experience with IPOs, reverse mergers, and complex financing arrangements
Background serving as outside general counsel to privately held and small to mid-cap public companies
Ability to work collaboratively across multiple practice areas to provide comprehensive legal solutions
