Overview
The Corporate Counsel, Leasing, NA role at Vantage Data Centers supports North American data center leasing and related customer agreements, including leases, service agreements, tenant order forms, and related documents. This role can be based remotely in the US; preferred locations are the San Francisco Bay Area, Denver, CO, and Ashburn, VA.
Responsibilities
Legal Guidance and Negotiation: Provide legal guidance and negotiation for data center transactions in North America and draft/ negotiate data center agreements and related documents, including, but not limited to, tenant order forms, change orders, NDAs, letters of intent, subordination, non-disturbance, attornment, leases, colocation agreements, development agreements, master service agreements, service orders, and related documents.
Prepare notices, summaries, and abstracts: Draft commencement notices, delay notices, and summaries/ abstracts of customer agreements; provide guidance on the terms of customer agreements; review and revise after-action reports for incidents related to customer agreements.
Compliance and risk: Provide guidance regarding compliance initiatives for customer agreements; deliver proactive, strategic-level advice to enable business objectives while managing legal risk.
Cross-Functional Collaboration
Collaborate with Sales, Finance, Corporate Development, and Operations teams to gather input on technical, operational, and compliance aspects of data center transactions; provide practical, business-focused legal advice.
Contract Management and Compliance
Develop and update customer-related agreement templates; counsel on template usage; provide legal analysis in support of business development and financing transactions, including due diligence and document review; ensure compliance with applicable laws and regulatory requirements related to customer agreements.
Customer Relationship Management
Assist with all legal matters involving customer relationships; support improvements in the customer negotiation process and resolve issues that arise in existing customer relationships; support global strategy for contract management and governance.
Additional Duties
Handle additional duties as assigned by Management.
Qualifications Education:
JD from an ABA-accredited law school and admission to a State Bar; working knowledge of commercial real estate.
Experience:
3+ years of relevant legal experience; experience in the data center industry strongly preferred.
Skills:
Strong organizational and project management skills; strong written and verbal communication; practical, business-minded leadership; excellent negotiation and legal writing abilities; strong interpersonal and management skills; ability to manage multiple priorities and meet deadlines; impeccable integrity and ethics; travel up to 5% (may vary with business needs).
Compensation & Benefits Salary Range:
$175,000 - $190,000 base salary plus bonus (this range is based on Colorado market data and may vary by location).
