National In-House Executive Recruiter, General Counsel & Corporate Counsel (Legal Division of the Adecco Group)
Established privately held Company in Alameda County seeks a General Counsel to provide guidance and advisory support while overseeing legal matters including those related to construction equipment, power systems, technology solutions and equipment management services. Private company M&A experience is required for this position. Responsibilities: Provide legal counsel and advice to the Executives, Owners, Regional and Divisional managers; and other employees of Company on legal matters relevant to the organization including risk management, and legal compliance with respect to the company's expansion and merger and acquisition (M&A) strategy. Directly manage the Contract Review team responsible for reviewing and negotiating all customer contracts. Work directly with operations, customers and vendors on the negotiation and execution of complex transactions including finance agreements, vendor agreements, IT agreements and real estate matters. Maintain all corporate records; manage local, state, and federal filings; create and set up new entities. Oversee all litigation utilizing outside counsel including the company's litigation strategy to determine the advisability of prosecuting or defending lawsuits or other legal actions. Manage the intellectual property, including trademark, trade dress, and copyrights of the organization. Keep abreast of standard practices and trends affecting the company's industries. EXPERIENCE REQUIREMENTS: JD from an ABA approved law school and licensed in CA 10+ years of experience Excellent drafting and negotiating skills Conceptual thinker with strong vision, judgment, and intellect with ability to work quickly and prioritize a wide variety of projects Ability to work on-site At the time of this posting, the anticipated salary for the role is $300,000 to $400,000 plus bonus.
