Job Overview: A prestigious law firm is seeking an experienced Of Counsel to join its Finance group, specifically the Structured Finance subgroup. The ideal candidate will bring at least 9 years of experience in structured finance, securitization, and CLO (Collateralized Loan Obligation) work, and possess strong analytical, writing, and communication skills. Location: Washington, DC Duties: Provide legal counsel and expertise in structured finance, securitization, and CLO transactions. Draft, review, and negotiate complex agreements and documentation. Offer strategic advice to clients on structured finance deals. Collaborate with colleagues to manage client relationships and transactions. Conduct legal research and provide analysis on relevant finance and securities laws. Mentor and guide junior attorneys and staff in the finance group. Participate in business development initiatives and client presentations. Ensure compliance with all relevant regulations and industry standards. Requirements: Minimum 9 years of experience in structured finance, securitization, or CLO transactions. Prior experience with an AmLaw 100 law firm preferred. Strong attention to detail and ability to manage complex legal matters. Excellent organizational and time management skills. Ability to work both independently and collaboratively in a team environment. Ability to handle multiple competing demands and meet deadlines in a fast-paced environment. Proven communication and negotiation skills. Education: Juris Doctor (JD) from an accredited law school. Certifications: Licensed to practice in the jurisdiction in which the candidate is applying. Skills: Strong analytical and writing skills. Excellent business judgment and problem-solving abilities. Strong communication skills, both verbal and written. Ability to influence and persuade clients and colleagues. Knowledge of structured finance, securitization, and CLO laws and regulations. Strong conceptual thinking and legal research skills.
