Overview
Kardigan is seeking an experienced Director, Contracts and Transactions Counsel. This strategic legal role provides comprehensive guidance on commercial transactions and contracts management and serves as a key advisor to business leaders. Reporting to the Vice President, Corporate Law, the role can be based in Princeton, NJ or South San Francisco, CA. Responsibilities
Draft, review, and negotiate a wide range of agreements, including master services agreements, license agreements, supply agreements, manufacturing agreements, quality agreements, sponsored research agreements, clinical trial agreements, material transfer agreements, and others. Provide strategic guidance on transaction structure and contract terms to optimize business outcomes while managing legal risk. Develop and maintain contract templates and playbooks; update contract policies and procedures. Identify and mitigate legal risks; train business teams on contract policies and risk management. Evaluate and implement legal technology solutions; establish metrics and reporting systems. Manage outside legal consultants and collaborate with business development and research functions. Serve as a legal liaison to the company for commercial transactions and contracts management. Qualifications
Juris Doctor degree from an accredited law school and admission to practice law. Minimum of 7 years of legal experience with a mix of law firm and in house experience in pharmaceutical, biotechnology, or medical device companies focusing on contracts and commercial transactions. Expertise in drafting and negotiating complex agreements; experience counseling on external business relationships and collaborations. Solid understanding of intellectual property and privacy and data protection laws related to commercial agreements. Knowledge of healthcare, FDA regulations, and other laws applicable to life science business transactions. Strong systems thinking, organizational and communication skills; ability to work independently in a fast paced environment; motivated to solve legal and business challenges. Location flexibility or willingness to travel as needed. Location
