Overview We are looking for a skilled Senior Manager, Commercial Legal Counsel who can provide practical, solutions-based business guidance in a fast-paced environment. The successful candidate will handle a diverse range of responsibilities to support business partners worldwide and will help build out the Legal function at Intercom. This role reports to the Senior Director, Head of Commercial and Product Legal. What will I be doing?
Review and negotiate inbound and outbound contracts, including SaaS agreements, data processing agreements, and business associate agreements with sophisticated, enterprise customers. Respond to legal requests from Sales, Customer Support, Sales Operations, Marketing and other internal clients; collaborate cross-functionally with Security and Product and Engineering to determine the appropriate course of action. Develop and manage contract templates and negotiation playbooks; improve efficiency of sales contracting processes in collaboration with Sales Operations. Deliver legal trainings and develop materials in collaboration with Sales Enablement. Stay abreast of changes to data protection, data privacy, information security, commercial contracting and AI-related regulations and guidelines. Research and adopt AI solutions to streamline contract review and respond to customer RFPs and questionnaires. Assist with special projects and collaborate with other Legal team members to ensure successful completion. What skills do I need?
15+ years of commercial transactional experience at technology companies or in a technology transactions practice at a law firm. Advanced drafting and writing skills, strong negotiation skills, risk evaluation, and ability to coach others to develop these skills. Solid understanding of intellectual property, software licensing and cloud computing. Working knowledge of data protection, data privacy, information security and AI-related regulations. Experience with CRM software and automated contract management systems. Ability to prepare business-influencing work products and clearly convey legal principles; ability to train others and share knowledge. Ability to prioritize and advance multiple transactions under tight deadlines. J.D. from an ABA-accredited law school; licensed attorney in good standing with California or eligible to be registered as in-house counsel if licensed elsewhere. Creative, resourceful, organized, detail-oriented and collaborative; strong relationship-building across the company. Ability to quickly learn what matters to Intercom’s culture, business and customers; a team player with open, honest communication and a good sense of humor. The base salary range for candidates within the San Francisco Bay Area is $270,000-$322,500, dependent on factors such as education, skills, experience and location.
