Job Summary


This is a fully-remote, senior-level, in-house Legal Counsel position that will be primarily responsible for drafting and negotiating complex commercial contracts for enterprise clients, providing legal support to Toptal’s larger, more sophisticated Enterprise clients, and assisting with strategic transactions, including mergers and acquisitions. The Senior Corporate Counsel will have working familiarity with legal areas required to support existing and new Enterprise clients, such as data privacy (GDPR, CCPA). This position involves substantial cross-team collaboration.

Responsibilities

  • Draft and negotiate complex commercial contracts for enterprise clients.

  • Provide legal support related to enterprise engagements, including data privacy considerations (GDPR, CCPA) and regulatory compliance.

  • Assist with strategic transactions, including merger and acquisition due diligence and post-acquisition integration planning with other legal and cross-functional teams.

  • Develop and review commercial contracting processes, guidelines, and procedures.

  • Collaborate across functions to balance business needs with legal protections and maintain a customer-centric approach while protecting Toptal’s interests and reputation.


Qualifications and Job Requirements



  • Bachelor’s degree required.

  • Admission to a U.S. State or the District of Columbia bar.

  • Minimum of 7 years of experience across both law firm and corporate settings.

  • Experience structuring and advising on complex transactions, including master service agreements, statements of work, NDAs, licensing agreements, and partnership agreements.

  • Strong experience negotiating and drafting commercial contracts.

  • Strong experience in mergers and acquisitions.

  • Strong experience advising on data protection and privacy laws globally, negotiating privacy-related agreements, and providing actionable guidance on the changing data privacy landscape.

  • Excellent customer service, interpersonal, and organizational skills.

  • Ability to quickly master and integrate legal, business, technical, and practical analysis.

  • Attention to detail with strong business judgment and the ability to devise creative solutions.

  • Ability to support and scale in a fast-growing company with a focus on execution.

  • Outstanding written and verbal communication skills.

  • Ability to work in a fast-paced, growth-oriented environment with diverse deadlines and contacts.
