Overview
Join to apply for the Senior Corporate Counsel role at Toptal . This is a fully-remote, senior-level in-house Legal Counsel position that will be primarily responsible for drafting and negotiating complex commercial contracts, providing legal support to Toptal’s Enterprise clients, and assisting with strategic transactions including mergers and acquisitions. The Senior Corporate Counsel will have working familiarity with legal areas required to support existing and new Enterprise clients, such as data privacy (GDPR, CCPA). This position involves substantial cross-team collaboration. This is a remote position and we require applicants to reside within the US. We do not offer visa sponsorship or assistance. Responsibilities
- Drafting and negotiating complex commercial contracts, with a focus on supporting fast-paced Enterprise client engagements.
- Provide legal support for strategic transactions, including mergers and acquisitions, with due diligence and post-acquisition integration planning in collaboration with cross-functional teams.
- Explain and apply data privacy considerations (GDPR, CCPA) and advise on changing data privacy regulations; negotiate privacy-related agreements and provide actionable guidance.
- Develop and maintain commercial contracting processes, guidelines, and procedures; advise on risk identification and mitigation through business-practical application of Toptal’s policies and processes.
- Cultivate productive client and business partner relationships; balance legal protections with business interests in a customer-centric manner.
Qualifications
- Bachelor’s degree required.
- Admission to a U.S. State or District of Columbia bar.
- Minimum of 7 years of experience in both law firm and corporate settings.
- Experience structuring and advising on complex transactions, including master service agreements, statements of work, NDAs, licensing agreements, and partnership agreements.
- Strong experience negotiating and drafting commercial contracts and in mergers and acquisitions.
- Strong experience advising on data protection and privacy laws globally, negotiating privacy-related agreements, and providing actionable guidance on the evolving data privacy landscape.
- Excellent customer service, interpersonal, and organizational skills.
- Ability to quickly master and integrate legal, business, technical, and practical analysis.
- Attention to detail with strong business judgment and creative problem-solving.
- Ability to support and scale in a fast-growing company with a focus on execution.
- Outstanding written and verbal communication skills.
