Position overview Prolaio is seeking a collaborative, experienced and strategic Vice President to lead our corporate legal function. As Prolaio’s first legal hire, this role reports to Kardigan’s General Counsel and serves as head of the legal function, partnering with the business and leading the corporate law group within the larger Kardigan legal team. You will drive corporate legal strategy, ensure legal compliance, and support the company’s long-term objectives in a digital health environment. This role will report to Kardigan’s General Counsel and Corporate Secretary and work closely with the Prolaio Leadership Team. The Specifics
Foster a collaborative and innovative environment by partnering with key stakeholders to provide legal support enabling the company’s mission and strategic initiatives. Leverage deep experience in the digital health/SaMD industry to help navigate the legal and regulatory environment. Manage the legal contracts function, including negotiation and drafting of vendor agreements, collaboration agreements, joint ventures, software licensing, and partnership agreements. Ensure alignment with business objectives while managing legal and financial risks. Partner with internal teams including Finance, Tax, HR, and Business Development, and work with external counsel as needed to support corporate matters and ensure compliance with applicable laws. Coordinate with Kardigan’s legal team to provide guidance on compliance and governance. Partner with Kardigan IP group on IP matters. Experience and Education
JD required, with a minimum of 15+ years of experience in corporate law, including 7+ years of prior in-house experience in the digital health or medical device industry. Active membership in good standing of a state bar. Strong knowledge of the legal and regulatory frameworks governing digital health and medical devices, including SaaS and direct-to-consumer approaches. Proven track record in negotiating, drafting and managing contracts, navigating healthcare compliance and privacy matters in the digital health or medical device industry. Demonstrated leadership with ability to collaborate across departments and influence senior leadership. Ability to balance legal and business considerations with practical, growable solutions; strong analytical, negotiation and communication skills; and ability to build cross-functional relationships. Comfort thriving in a fast-paced, dynamic environment with a patient-first mentality and sense of urgency. Exact compensation may vary based on skills, experience and location.
