In-house Senior Counsel, Private Equity & M&A
to join the in-house legal team in New York. Reporting into the General Counsel, this is a unique opportunity to step out of a traditional law firm role and into a position where you will work directly with investment teams, portfolio companies, and senior leadership on high-profile, strategic matters. The ideal candidate will bring deep M&A/Private Equity transaction experience and a strong commercial mindset, with the ability to influence business outcomes while safeguarding the firm’s interests. Key responsibilities: Lead and manage the legal aspects of private equity transactions, including acquisitions, divestitures, minority investments, recapitalizations, and joint ventures Partner closely with deal teams throughout the investment lifecycle, from diligence through execution and post-closing integration Provide legal support on fund-level matters, including co-investments, financings, and exits Advise portfolio companies on corporate governance, compliance, and strategic initiatives Draft, review, and negotiate term sheets, purchase agreements, shareholder agreements, and financing documents Select, manage, and coordinate with outside counsel, ensuring efficiency and high-quality advice Support the General Counsel and leadership team with firm-wide initiatives, risk management, and regulatory compliance Qualifications: JD from a top-tier law school; admitted to practice in New York 6–10+ years of experience in private equity and M&A, ideally from a top 50 AM law firm training or in-house exposure at a fund, asset manager, or investment platform Strong M&A and transaction experience across a range of deal structures and industries Excellent drafting, negotiation, and project management skills Ability to work independently while collaborating effectively across teams Commercial acumen, with the ability to align legal strategy with investment objectives Gain direct exposure to complex, market-shaping transactions in private equity Partner with investment professionals and executives at the highest levels Hybrid work structure with flexibility and balance Collaborative, entrepreneurial culture where legal is viewed as a strategic partner Competitive compensation package including base salary, performance bonus and comprehensive benefits like health, mental, dental, vision, disability, and life coverage If this is of interest and you would like to have a confidential conversation, please send your updated resume to Alejandro Agustín Cano: aagustincano@hpexec.com
