Role: The successful candidate will provide strategic legal counsel to clients on sophisticated transactions, including acquisitions, divestitures, leveraged buyouts, fund formations, and recapitalizations. Responsibilities: Transaction Leadership: Advise clients on structuring, negotiating, and executing complex M&A and private equity transactions, including cross-border deals, joint ventures, and restructurings. Client Counseling: Serve as a trusted advisor to private equity sponsors, portfolio companies, and corporate clients on deal strategy, due diligence, and regulatory compliance (e.g., Hart-Scott-Rodino Act, CFIUS). Contract Drafting and Negotiation: Prepare and negotiate key transaction documents, such as purchase agreements, shareholder agreements, financing documents, and operating agreements. Qualifications: Juris Doctor (J.D.) from an accredited law school. Active membership in good standing with the bar of New York. 10+ years of relevant experience in corporate law, with a focus on M&A and/or private equity at a reputable law firm. Base Salary: $450,000+, commensurate with experience. Additional Compensation: Annual performance-based bonus.
