Summary Under the supervision of attorneys, performs a range of substantive case, matter or entity related duties. Prepares drafts of legal and other documents and correspondence for attorney review. Compiles, analyzes and summarizes information. Coordinates efforts between attorneys, clients, outside legal counsel, opposing legal counsel, other parties and outside vendors.

Location This position can sit in either our Austin, New York, San Francisco, or Washington, DC office and offers a hybrid work schedule.

Responsibilities

Researches, prepares and files legal UCC Financing Statements

Organizes, prepares and files a variety of corporate legal documents for transactions (Articles of Incorporation/Organization, Amendments, state qualifications, consents, merger documents, closing books, electronic closing sets, initial drafts or certificates, short-firm closing deliverables, and filing annual reports, and assists with formation of entities). Manages data rooms and matter files.

Coordinates execution and delivery of documentation to other parties’ counsel, lenders, governmental agencies, etc. including all closing documentation.

Develops, monitors and updates closing and other checklists.

Attends closing with attorneys to manage documents and obtain all necessary signatures.

Prepares closing books.

Prepares documents for transactions such as closing statements.

Prepares and files annual reports in states where corporations are incorporated and/or qualified to do business.

Assists with due diligence.

Prepares closing volumes, including index, document assembly, binding and final distribution.

Performs Blue Sky research and filings.

Prepares and maintains capitalizations tables as well as stock and options ledgers.

Maintains minute books (hard copy and electronic).

Manages data rooms and matter files.

Maintains minute books (hard copy and electronic).

Assembles, reviews and analyzes documents.

Communicates/Liaises with judges’ chambers, court personnel, outside counsel, clients and other parties via telephone, mail and email.

Organizes service and delivery of signature copies to chambers.

Maintains department calendar.

Desired Skills

Strong skills in Word, Excel and Outlook.

Experience with legal software such as Relativity, LexisNexis, Westlaw or similar application required.

Excellent verbal, written and interpersonal skills to interact with staff, paralegals, attorneys and clients daily.

Strong organizational skills and attention to detail to handle large volumes of work associated with each matter.

Ability to work effectively in a fast-paced environment and assist attorneys in both home office and in-office settings across the firm.

Minimum Education

High School or GED

Preferred Education

Bachelors Degree and/or a Paralegal certificate

Certificates

Paralegal Certificate preferred. For California Paralegals: Must meet the California Paralegal Requirement or any other states requiring a paralegal certification.

Minimum Years Of Experience

1 year of paralegal experience for individuals with a bachelor's degree and/or paralegal certificate. Individuals without a degree or certification require five years' legal support experience in the specific practice area.

Physical Demands Exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects. Sedentary work involves sitting most of the time; walking and standing are required only occasionally.

Work Environment The position may offer a hybrid work arrangement (remote and in-office) with details determined in coordination with the hiring manager and may be modified in the firm’s discretion in the future.

The firm’s expected hiring range for this position is $43.36 to $62.68 per hour, depending on geographic location. Compensation will depend on experience, skills, education, and qualifications. We offer a comprehensive benefits package including medical/dental/vision insurance and 401(k).
