NATURE OF THE JOB: Each day in this position is different – the law is varied across jurisdictions globally. The role requires the ability to manage and implement legal strategies with substantive knowledge, professional experience, adaptability, and a proactive, creative approach to resolving multiple legal issues.

Develop effective global legal strategies across multiple jurisdictions to mitigate risk and achieve cost-effective implementation.

Retain, direct and supervise international external law firms, consultants and third-party experts on corporate governance, environmental laws, joint ventures, real estate, general corporate law, HR/benefit regulatory schemes and intellectual property.

Direct, supervise and administer Energy Company entities worldwide to ensure compliance with country laws, maintain corporate documents, and ensure meetings and registrations are properly recorded in accordance with jurisdictional requirements.

Supervise the Energy Company real estate assets, leaseholds, ownership documents, transactions, regulatory compliance, zoning, tax issues, and maintain a comprehensive database of records and properties.

Handle novel issues with complex requirements and new territories across various areas of law.

Design legal strategies that support global operational needs and problem-solving through creative thinking.

Develop, supervise and maintain software systems for E-discovery and data protection, including encryption, to safeguard the company’s intellectual property and confidential information.

Responsibilities

Develop and maintain global legal strategies across jurisdictions to minimize risk and support operations.

Coordinate with external law firms, consultants and experts on governance, environmental, real estate, IP and regulatory matters.

Ensure global entities comply with laws, keep corporate documents up to date, and file corporate actions and by-laws appropriately.

Oversee real estate assets and related regulatory compliance, including leases, zoning and tax matters, and maintain accurate records.

Respond to novel legal issues promptly and effectively, adapting to changing requirements.

Provide strategic problem-solving to facilitate global operations and compliance.

Implement and manage information security measures to protect electronic data and IP.

Qualifications

Doctorate of Jurisprudence from an accredited law school (minimum educational requirement).

Admitted and in good standing to the Commonwealth of Pennsylvania Supreme Court (no lapse in license).

At least seven (7) years of high-level corporate experience, including contracts, finance/banking, IP, environmental matters, international law, real estate/leasing, and corporate governance.

At least five (5) years of experience managing outside counsel.

Knowledge and experience with global anti-corruption laws (FCPA, UK Bribery Act, Japanese Unfair Competition Law, Dodd-Frank, Sarbanes-Oxley).

Ability to analyze large volumes of complex information and develop case plans quickly.

Strong leadership, decisiveness, organization, and ability to prioritize in a dynamic environment.

Cross-cultural awareness, strong writing and research skills, and excellent communication abilities with diverse audiences.

Experience advising corporate organizations domestically and internationally; attention to detail and efficiency; ability to work in a matrixed environment and manage multiple matters concurrently.

Proficiency with Microsoft Word, Excel, PowerPoint; experience with databases; basic accounting knowledge is helpful; project management and supervisory experience are key.

Self-starter capable of working independently with minimal supervision.
