The role provides broad exposure to investment transactions, offering the opportunity to work closely with senior leadership and external advisors in a dynamic private equity environment. Highlights: Opportunity to provide legal support across private equity transactions, funds, and portfolio companies High-impact role with visibility to investment professionals and senior leadership Collaborative environment with exposure to both transactional and fund-related legal work Direct involvement in coordinating outside counsel and managing third-party service providers Key Responsibilities: Lead legal support on investment transactions (pre-signing through post-closing), including co-investment documentation (partnership agreements, side letters, etc.) Advise on ancillary deal documentation (commitment letters, LOIs, banker engagement letters) Support antitrust analysis and review related filings Provide legal guidance on portfolio company matters Assist with fund formation and structuring, including drafting/reviewing PPMs, LPAs, subscription agreements, side letters, and third-party service provider agreements Manage and coordinate with outside counsel, business partners, and vendors Qualifications: J.D. from an accredited law school and admitted to at least one state bar Minimum 3 years of experience at a law firm executing private equity M&A transactions, or as in-house counsel in private equity Strong business acumen with excellent analytical and drafting skills Effective communicator with strong interpersonal skills Ability to manage multiple projects, work independently, and thrive in a fast-paced environment Familiarity with the Investment Advisers Act of 1940 a plus (not required) Exposure to credit agreements, credit fund, or CLO documentation a plus (not required) Seniority level
