Key Responsibilities

Corporate & Commercial Law

  • Draft, review, and negotiate complex commercial agreements, including vendor contracts, client agreements, licensing deals, partnership agreements, and NDAs.

  • Provide legal support for mergers, acquisitions, joint ventures, and other corporate transactions, including due diligence and integration activities.

  • Advise on employment, intellectual property, data privacy, and real estate matters as they relate to corporate operations.

Governance & Compliance

  • Support the General Counsel in corporate governance matters, including board of directors’ meetings, preparation of minutes, resolutions, and shareholder communications.

  • Ensure compliance with securities laws, corporate policies, and industry-specific regulations.

  • Develop, implement, and monitor internal compliance programs, policies, and training initiatives.

Risk Management

  • Identify, assess, and mitigate legal risks affecting the organization’s operations and strategic initiatives.

  • Advise leadership on potential disputes, litigation risks, and oversee external counsel in managing disputes, claims, or regulatory inquiries.

  • Support internal investigations and regulatory compliance audits.

Business Partnership

  • Serve as a key strategic partner to senior executives, providing practical, business-oriented legal advice.

  • Collaborate with cross-functional teams (HR, Finance, Operations, Procurement, IT, and Marketing) to support day-to-day operations.

  • Provide thought leadership on emerging legal trends and their impact on the business.

Team & Leadership

  • Mentor and supervise junior legal staff, paralegals, or outside counsel as needed.

  • Support the General Counsel in developing the legal team’s capabilities, processes, and technology.

  • Promote a culture of ethical behavior and legal compliance across the organization.

Qualifications

  • Education: Juris Doctor (JD) degree from an accredited law school.

  • Licensure: Active membership in good standing with at least one state bar.

  • Experience:

    • 8–12+ years of progressive legal experience in corporate law, preferably a mix of law firm and in-house counsel roles.

    • Demonstrated expertise in contract negotiation, corporate governance, compliance, and transactional work.

    • Experience supporting a publicly traded company (if applicable) is highly desirable.
