If your skills, experience, and qualifications match those in this job overview, do not delay your application. 3-4 days in office per week Role You will provide legal support and expertise in the formation, structuring, and ongoing management of private investment funds, such as private equity funds, hedge funds, venture capital funds, real estate funds, and other alternative investment vehicles. Responsibilities
Advise clients on the legal and regulatory aspects of forming investment funds, including entity selection (e.g., limited partnerships, LLCs) and jurisdiction considerations (e.g., Delaware, Cayman Islands). Draft and review fund formation documents, such as limited partnership agreements (LPAs), private placement memoranda (PPMs), subscription agreements, and operating agreements. Stay updated on regulatory developments affecting private funds, including SEC, CFTC, and international regulations Collaborate with fund managers and sponsors to understand their investment strategies and objectives, providing tailored legal advice. Negotiate terms with investors, including side letters and other bespoke agreements. Qualifications
Juris Doctor (JD) degree from an accredited law school; admission to the bar in the relevant jurisdiction. 2–5 years of experience in corporate law, preferably with a focus on investment funds, private equity, or securities law within a law firm or in-house setting.
