Responsibilities Corporate & Commercial Legal Affairs

Draft, negotiate, and review a wide variety of commercial agreements, including vendor contracts, service agreements, NDAs, and partner/distribution agreements.

Advise business units on legal and regulatory issues affecting commercial relationships and company operations.

Support litigation and dispute actions, M&A activities, and corporate governance as needed.

Labor & Employment

Provide counsel on labor and employment issues.

Partner with HR to develop and maintain compliant employee policies and practices.

Support litigation & disputes, Including coordination with worldwide outside counsel.

Assist in responses to subpoenas, regulatory inquiries, and internal investigations.

Intellectual Property

Partner with product and engineering teams to identify, protect, and manage the company’s IP portfolio.

Advise on trademark and copyright registration and enforcement strategies.

Review marketing materials, product branding, and product features for IP clearance.

Open Source Compliance

Review open-source software usage for compliance with licensing requirements through an internal tracking mechanism

Develop and maintain open-source policies and training for engineering and product teams.

Commercial Agreements

Structure and negotiate technology, licensing, SaaS, and procurement agreements with vendors and partners.

Ensure agreements reflect the company’s risk tolerance, compliance requirements, and strategic objectives.

Legal Operations

Assist in implementing legal processes and tools to enhance department efficiency and collaboration.

Support development and management of contract lifecycle systems and other ad-hoc legal knowledge management tools

Qualifications

J.D. from an accredited law school and licensed to practice in at least one U.S. jurisdiction.

7+ years of relevant legal experience, ideally with a mix of law firm and in-house roles.

Strong knowledge of corporate, commercial, employment, and IP law.

Experience working in a technology or SaaS environment preferred.

Exceptional contract drafting and negotiation skills.

Ability to manage multiple priorities and work effectively in a fast-paced, collaborative environment.

Strong interpersonal and communication skills with a practical, business-oriented approach to problem-solving.
