Corporate Counsel, Commercial Agreements Join to apply for the Corporate Counsel, Commercial Agreements role at Netcracker Technology. Responsibilities

Draft, review, and negotiate a variety of commercial agreements, including: SaaS and software license agreements; Data processing agreements (DPAs); Non-disclosure agreements (NDAs); Customer contracts for software and service delivery. Manage the full lifecycle of customer contracts, from initial negotiation through execution and post-signature implementation. Collaborate with stakeholders across Sales, Finance, HR, and Service Delivery to ensure contracts meet business and operational requirements. Provide legal support on international corporate and compliance matters. Develop and deliver training to employees on legal issues, risk mitigation, best practices, and company policies. Draft, negotiate, and review a wide variety of commercial agreements, including vendor contracts, service agreements, NDAs, and partner/distribution agreements. Advise business units on legal and regulatory issues affecting commercial relationships and company operations. Support litigation and dispute actions, M&A activities, and corporate governance as needed. Qualifications

Minimum of 5 years of legal experience, with a focus on the software/technology services sector Combination of law firm and in-house experience preferred Strong drafting, negotiation, and analytical skills Excellent verbal and written communication abilities; capable of clearly articulating complex legal concepts to non-legal stakeholders Highly organized with strong time management and the ability to manage multiple priorities in a fast-paced environment Practical, business-oriented approach to legal problem-solving Sound judgment and the ability to work independently with minimal supervision Strong interpersonal skills and a collaborative mindset Familiarity with applicable accounting and financial principles is a plus High energy, adaptability, and a proactive attitude toward achieving business objectives Education

Juris Doctor (JD) from an accredited law school Active membership in a state bar, in good standing Seniority level
