in their search for an experienced
Corporate Counsel
to join their esteemed legal team. This position reports to the U.S. General Counsel. Qualifications
A Juris Doctor degree from a nationally accredited U.S. law school Admission in good standing of state bar exam (New York Bar admission preferred) 5-10 years of experience as an attorney
in one or more of the following roles: At a major U.S. law firm in Corporate and Transactional Law, Securities Offerings/Capital Markets, and/or Mergers and Acquisitions Direct experience in securities and corporate law and/or in-house experience in an Investment Bank/Broker Dealer Experience in M&A and capital-raising transactions is a plus Strong written and oral communication and interpersonal skills Ability to work in a dynamic environment and manage multiple projects efficiently Main Job Responsibilities
Provide legal and regulatory support to the U.S. General Counsel to manage risk and legal strategy for the firm, issue-spot, and anticipate regulatory and legal issues Support the firm’s investment banking department with engagement letters, NDAs, related documents, review of fairness opinions and related SEC disclosure, review of underwriting and similar agreements, and other legal aspects of the investment banking business Support management and the U.S. General Counsel in the execution of the Company’s U.S. M&A strategy, including due diligence, drafting/review of acquisition agreements, coordinating with outside counsel, closing transactions, and integration of acquired businesses Research and formulate advice on questions of law for the firm’s business lines and compliance, finance, operations, and human resources Act as the go-to person and subject matter expert on transaction protocol and compliance Provide corporate generalist support through drafting, amending, and maintaining corporate records and operating documents for entities in the corporate family Draft, review, and negotiate a wide range of agreements, engagement letters, letters of intent, and other legal documents for all business lines and departments Assist with responding to litigation and related claims, including document review and production in coordination with outside counsel Location note:
