Overview

Senior Corporate Counsel at Toptal — fully remote, US-based. This senior-level, in-house legal position focuses on drafting and negotiating complex commercial contracts, supporting Enterprise clients, and assisting with strategic transactions including mergers and acquisitions. Familiarity with data privacy laws (GDPR, CCPA) and cross-team collaboration is required. This position is remote and requires residence in the United States. Draft and negotiate complex commercial contracts, including master services agreements, statements of work, NDAs, licensing agreements, and partnership agreements. Support Enterprise clients, engage in fast-paced business negotiations, and contribute to strategic transactions and M&A activities. Develop and review relevant commercial contracting processes, guidelines, and procedures. Collaborate across functional areas to balance legal, business, and practical considerations while protecting Toptal’s interests and reputation. Serve as a client-facing legal partner and cultivate productive relationships with clients and business partners. Qualifications and Job Requirements

Bachelor’s degree required. Admission to a U.S. State or the District of Columbia bar. Minimum of 7 years of experience in both law firm and corporate settings. Experience structuring and advising on complex transactions (e.g., MSAs, statements of work, NDAs, licensing, and partnership agreements). Strong experience negotiating and drafting commercial contracts. Strong M&A experience, including due diligence and post-acquisition integration planning with cross-functional teams. Experience advising on data protection and privacy laws globally, negotiating privacy-related agreements, and providing actionable guidance on evolving privacy requirements. Excellent customer service, interpersonal, and organizational skills. Ability to quickly master and integrate legal, business, technical, and practical analysis. Attention to detail with strong business judgment and creative problem-solving. Ability to support and scale in a fast-growing company with a focus on execution. Outstanding written and verbal communication skills. Ability to manage diverse challenges, deadlines, and contacts in a fast-paced environment. Demonstrated ability to contribute as a world-class individual contributor and work without relying on constant supervision. Essential Job Functions
