Transaction Experience:
Significant experience representing
private equity sponsors
and
their portfolio companies
in
complex corporate transactions , including
leveraged buyouts ,
mergers and acquisitions ,
recapitalizations ,
growth equity investments , and related matters.
AmLaw or SEC Background: Prior experience at a
large law firm
or
regulatory agency (SEC) strongly preferred (link removed)>
Client Engagement: Adept at managing client relationships, anticipating client needs, and providing strategic, solution-oriented legal counsel.
Demonstrated ability to draft and negotiate sophisticated deal documents and provide insightful guidance on legal risks and structuring.
Soft Skills: Excellent analytical and writing skills, strong business acumen, attention to detail, and the ability to work independently as well as collaboratively.
Key Responsibilities
Lead and Support Private Equity Transactions : Provide legal counsel on all stages of buy-side and sell-side private equity deals, including structuring, negotiation, due diligence, and execution.
Corporate Governance : Advise portfolio companies on day-to-day corporate matters and corporate governance issues.
Document Drafting & Review: Draft, negotiate, and review key transaction documents such as stock and asset purchase agreements, investment agreements, merger agreements, and ancillary documents.
Client Interaction : Maintain regular communication with clients and play a key role in managing deal timelines and expectations.
Cross-Practice Collaboration : Work closely with attorneys across practices including tax, employment, and finance to provide comprehensive legal support.

Compensation & Benefits
Competitive Compensation : Annual base salary is expected to range from
$310,000
$420,000 , depending on experience, qualifications, and market factors. Discretionary
