JD
from a
top-tier law school
with an
excellent academic record
Active Bar Admission in the relevant jurisdiction , in good standing
35 years
of substantive experience handling
public and private company M&A and other
strategic transactions
Experience serving as an
integral associate
on M&A transactions
Demonstrated ability to
draft definitive transaction agreements
and
manage due diligence ,
disclosure letters , and
closing processes
Skilled in coordinating with subject-matter experts and managing client relationships
Prior
AmLaw
or similarly
sophisticated law firm experience
preferred
Excellent verbal, written, and interpersonal skills, with a strong ability to negotiate
Key Responsibilities
Serve as a
key team member
on
complex M&A transactions in the
technology
and
life sciences
sectors
Draft
and
review transaction documents , including definitive agreements, disclosure letters, and closing deliverables
Conduct due diligence
and
oversee process management
across all phases of a deal
Coordinate with subject-matter experts across disciplines to address transaction-related issues
Support senior attorneys and clients in
structuring ,
negotiating , and
executing strategic transactions
Maintain and strengthen client relationships through responsive and solution-oriented service

Compensation & Benefits
Competitive Salary :
$260,000
$365,000 , commensurate with experience
Discretionary merit
