M&A/Securities Counsel

A leading manufacturer of industrial equipment is seeking an experienced attorney to join its legal team. This role will support securities compliance, M&A, corporate governance, executive compensation, and other transactional matters. Key Responsibilities: M&A : Lead legal aspects of global mergers, acquisitions, and divestitures, including negotiations, regulatory clearances, and due diligence. Securities Compliance : Support SEC filings (10-K, 10-Q, 8-K, proxy statements), investor communications, and public disclosures. Governance : Prepare board and committee materials; maintain governance documents. Executive Compensation : Oversee equity compensation plans and related legal matters. Qualifications: JD and bar membership. 8+ years of legal experience, ideally in both law firm and in-house settings. Strong background in public company transactions and SEC compliance. Proven leadership, communication, and ethical standards. Preferred on-site in Minneapolis office.
