Associate Attorney – Securities & Capital Markets Chicago, IL | New York, NY | Washington, DC | Miami, FL

Direct Counsel is partnering with a leading national law firm to identify an

Associate Attorney

with 3–5 years of securities and capital markets experience to join its Securities & Capital Markets group. Positions are available in the firm’s Chicago, New York, Washington, DC, and Miami offices. This role offers the opportunity to work on sophisticated capital markets transactions and public company advisory matters alongside an established, nationally recognized team. Key Responsibilities: Represent issuers, underwriters, and investors in public and private securities offerings

Advise clients on SEC reporting and compliance, including 34 Act filings

Draft and negotiate transactional and disclosure documents

Assist with corporate governance, shareholder matters, and stock exchange requirements

Support mergers, acquisitions, and other complex corporate transactions

Qualifications: 3–5 years of experience in securities and capital markets work

Strong knowledge of the Securities Act, Exchange Act, and related regulations

Experience with public and private offerings, SEC filings, and corporate governance

Excellent drafting, analytical, and communication skills

Admission to the Bar in the relevant jurisdiction or eligibility to obtain

Compensation & Benefits: Base salary range:

$235,000 – $365,000 , depending on experience and location
