Overview
Corporate and Securities Counsel & Assistant Corporate Secretary is a role on Brink’s legal team responsible for securities law compliance, corporate governance, and public company reporting obligations. The successful candidate will also serve as Assistant Corporate Secretary, supporting the Board of Directors and executive leadership on governance matters.

Key Responsibilities
Securities and Public Company Reporting- Advise on securities law compliance, including the Securities Act of 1933, Exchange Act of 1934, and NYSE listing standards
- Prepare, review, and support the filing of SEC reports (e.g., 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings)
- Partner with Finance and Investor Relations on earnings materials, investor disclosures and public communications
- Monitor and advise on disclosure controls, insider trading, and Regulation FD compliance
- Serve as Assistant Corporate Secretary supporting the General Counsel, Board of Directors, and Board Committees
- Draft agendas, resolutions, meeting minutes, governance policies, and committee charters
- Manage Board and committee meeting logistics, including preparation and distribution of materials
- Maintain accurate corporate records and support shareholder engagement and the annual meeting process
- Coordinate Board and leadership compliance with corporate policies and governance best practices
- Utilize entity and board management tools to support governance processes and records
- Advise on corporate structure, subsidiary governance, and global entity management across 50+ countries
- Support legal aspects of M&A, strategic transactions, and corporate reorganizations
- Contribute to ESG-related disclosures, sustainability governance, and shareholder communications as needed
- Collaborate on enterprise risk management and ethics/compliance policy development
Qualifications
- J.D. from an accredited law school; admitted to practice in at least one U.S. jurisdiction
- 6+ years of relevant legal experience, including at a top law firm or in-house legal department of a public company
- Deep knowledge of U.S. securities laws, SEC regulations, and NYSE requirements
- Experience managing corporate governance and supporting public company Boards
- Proven ability to manage multiple priorities in a fast-paced, global environment
- Excellent communication, writing, and interpersonal skills
- High integrity, sound judgment, and attention to detail
