Senior Director, Legal, Technology & Commercial at Warner Bros. Discovery. The role provides comprehensive and proactive legal support to the WBD businesses powering brands such as Warner Bros., MAX, Discovery and discovery+, HBO, CNN, DC Entertainment, HGTV, Food Network, TNT, Cartoon Network, Bleacher Report and more. The team focuses on enterprise technology and streaming, as well as corporate and other commercial functions. The Warner Bros. Discovery Legal Department is seeking a technology and commercial transactional attorney. This position will be part of the Technology & Commercial legal team providing comprehensive and proactive legal support to the WBD businesses that power the company’s world renowned brands. This team supports enterprise technology and streaming organizations and its corporate and other commercial functions. The role requires close liaison with the relevant internal stakeholders and providing legal advice to the businesses on a wide range of issues. Your Role Accountabilities
Lead attorney for the negotiation and drafting of complex and strategic technology and commercial agreements and other legal documents in support of the company’s businesses and corporate functions, including software and technology license/development agreements, SaaS agreements, data licensing agreements, consulting agreements, purchase agreements, proof of concept agreements, statements of work, and NDAs. Advise on the structure of transactions. Primary areas supported in the enterprise technology and streaming business units include technology and operations infrastructure and platforms and services that support WBD’s theatrical and television studio productions, linear broadcasting, digital products, and direct-to-consumer and streaming platforms; software and application licensing and development; data science and data strategy; distribution technologies; production and post-production technologies; media supply chain (content workflow and management); enterprise systems and solutions; IT and telecom; information security; advertising and marketing technology; payment processing technologies; AI technologies; and more. Have deep knowledge in areas of responsibility and related areas to develop, implement, and direct programs. Interpret and provide advice to internal clients regarding the company’s rights, obligations, restrictions, and all other contractual provisions included in the company’s tech and commercial contracts. Regularly liaise with EVP level independently, and provide leadership and counsel to large, diverse teams of senior employees (i.e., Directors). Provide strategic legal advice and counsel on a variety of licensing, technology, commercial, and other legal topics, with an emphasis on AI. Provide guidance on AI governance issues and the establishment and maintenance of AI policies. Evaluate and provide advice to internal clients on the use of AI, including identifying risks and ensuring appropriate contract protections. Have a deep understanding of AI and legal issues associated with the use of AI. Keep current with market standard AI contractual provisions, and developments and changes in laws applicable to AI. Coordinate with Information Security and the Privacy office on data security and privacy issues, and other stakeholders (e.g., Tax, Risk Management, Business Resiliency, Ethics & Compliance, etc.) related contract negotiations. Complete projects and tasks as assigned and provide general support for the team. Assist with the development and maintenance of contract templates and standard contract provisions utilized by the team. Qualifications & Experience
12 years of technology and commercial transactional experience at a law firm and/or in-house legal department. Some prior law firm experience is highly preferred. JD and active member of at least one US state bar, in good standing. Technically proficient lawyer with substantial experience in technology and commercial transactions. Prior experience contracting AI technologies and advising on AI matters is preferred. Superior drafting skills with substantial experience in contract negotiations to deliver both proper legal protection and excellent commercial results. Clear and concise communicator (oral and written) with the ability to present and distill legally complex issues into compliant but practical and commercial solutions for stakeholders. Highly motivated self-starter with strong work ethic and ability to work under pressure in a fast-paced environment and manage competing priorities effectively. Strategic thinker with excellent judgment and decision-making skills. Strong interpersonal skills with the ability to work effectively at all levels within the company and a cooperative, collaborative team attitude. Strong organizational skills and attention to detail.
