JOB SUMMARY

We are seeking a Commercial Contracts Attorney who will work under the guidance of the Head of Commercial Contracts to support the Legal and Procurement teams in drafting, reviewing, and negotiating a variety of healthcare-related vendor and procurement-based contracts. These agreements may include Master Services Agreements (MSAs), Statements of Work (SOWs), Software-as-a-Service (SaaS) agreements, consulting agreements, and NDAs. You will play a key role in helping ensure contract terms meet legal, regulatory, policy and business requirements. As part of a dynamic legal team, you will assist in streamlining GeneDx’s contracting processes by developing standard templates and supporting cross-functional teams, while also driving efficiencies in contract turnaround time, and maintaining strong stakeholder relationships across the company.

MAJOR DUTIES AND RESPONSIBILITIES

Draft, review, and negotiate procurement and vendor-related contracts, including but not limited to:

Master Services Agreements (MSAs) and SOWs;

Laboratory Service Agreements (LSAs);

Research Collaboration Agreements;

SaaS and other technology-related agreements;

Consulting and professional services agreements;

Equipment and software licensing agreements; and

Non-Disclosure Agreements (NDAs)

Collaborate with internal stakeholders in Procurement, Finance, Marketing, Infrastructure, and Compliance to ensure contracts reflect operational needs and meet corporate standards.

Identify and mitigate risks with respect to all commercial contracts.

Maintain and continuously improve/update internal contract templates, negotiation playbooks, and guidelines for a variety of high-volume agreement types.

Assist with tracking contract lifecycles, ensuring timely review and execution of agreements.

Conduct legal research and provide support on special projects as needed across the company.

SUPERVISORY RESPONSIBILITIES

None at this time; this is an individual contributor role with opportunities to grow into more responsibility over time.

EDUCATION/TECHNICAL REQUIREMENTS

D. from an accredited law school

Admission (or eligibility for admission) to practice law in at least one U.S. jurisdiction

EXPERIENCE

At least 5-7 years of legal experience, preferably in a law firm or in-house legal department

Familiarity with procurement or commercial contracts is strongly preferred

Strong attention to detail, ability to manage multiple priorities, and excellent written and verbal communication skills

CERTIFICATES, LICENSES, REGISTRATIONS

Active license to practice law in a U.S. state
