Epiq Counsel is seeking a seasoned Commercial Counsel to support a leading provider of innovative chemicals across multiple industries. This role will serve as a dedicated legal resource for our client’s business segment, working closely with internal legal and business teams to drive risk mitigation, compliance, and efficiency in third-party contracting. This is a hybrid part-time (20 hrs per week) role, based in Morris Plains, NJ. Responsibilities

Serve as an extension of the client legal team, primarily supporting customer-side commercial contracts for the business. Review and negotiate sales and purchase agreements, NDAs, technology license agreements, and other commercial documents. Collaborate with internal stakeholders to understand business objectives and provide practical legal guidance. Advise on liability, indemnity, and other key risk areas in contracts. Support contract managers globally, acting as a point of contact for approvals and negotiation strategy. Assist with template revisions and simplification, especially in connection with spin transactions. Conduct training sessions on contract principles and best practices. Hybrid role with onsite requirements at Morris Plains, NJ (2 days onsite). Compensation commensurate with experience and engagement complexity. Qualifications

10+ years of legal experience, ideally as a General Counsel, Assistant General Counsel, or Lead Attorney in a product-focused business. In-house experience strongly preferred. Deep expertise in commercial contracts, especially customer-facing agreements under U.S. law; familiarity with EU jurisdictions is a plus. Strong understanding of UCC principles, product sales, and global contracting. Experience in chemicals, industrial products, or life sciences sectors preferred. Willingness to work onsite at Morris Plains, NJ-based office 2 days per week. Independent, proactive, and results-oriented with excellent communication skills. JD Degree from an accredited institution. Active bar license in good standing in New Jersey. Interest in practicing in an alternative, fixed-term legal services model. Benefits
