ASSISTANT GENERAL COUNSEL - REMOTE
— ARC Group has an immediate opportunity for an Assistant General Counsel. This is a direct hire FTE position with a well-respected organization that has the potential to impact millions of lives.

Summary Provides legal advice and expertise on commercial contracts, employment matters and related business risk. Works with business leaders and human resources to meet objectives and address risk. Leads a team including contract analysts and a risk professional. Researches, analyzes and interprets proposed and existing laws, statutes and regulations. Identifies, evaluates and addresses legal risk. Structures, drafts, negotiates and/or approves legal documents. May represent the company in litigation, arbitration, mediation or disputes with courts, government agencies, or other legal authorities. Consults with external legal counsel on complex issues.
Responsibilities
Commercial Contracts and Third-Party Agreements (40%)
Lead activities and support the team in drafting, negotiating, and administering all aspects of commercial contractual agreements from request for proposal through life of contract: SaaS and other software licensing agreements; MSAs; SOWs; professional services agreements; vendor agreements; NDAs; teaming agreements.
Serve as a trusted advisor to internal stakeholders, including IT, Finance, and Business Operations, on legal and risk considerations.
Collaborate with cross-functional teams to ensure contracts align with internal policies and risk tolerance.
Maintain and update contract templates and negotiation playbooks to reflect evolving legal requirements and business needs.
Monitor regulatory and industry developments impacting technology and data-driven contracts, including data privacy and cybersecurity.
Assist in developing and implementing policies and procedures related to third-party risk and contract lifecycle management.
Employment Law Counseling (40%)
Provide employment law services across multiple states and municipalities to HR and management.
Offer practical advice on issues such as discrimination, disability accommodation, hiring, performance management and discharge, wage and hour, wrongful termination, employee privacy, non-compete agreements, protection of trade secrets, Title VII, EEO, OFCCP, SCA, ADA, ADEA, FMLA, FCRA and FLSA.
Review policies and develop proactive employment practices; stay updated on new employment laws and trends.
Conduct legal research and prepare written opinions; manage litigation, government investigations and administrative charges.
Direct investigations of employee claims and complaints; represent the company in hearings and inquiries (e.g., OFCCP, DOL, EEOC).
Work with HR to resolve employee relations issues and complex employment disputes; support audits, subpoenas, litigation and ethics investigations.
Develop and teach trainings on relevant subjects.
eLearning and Training Program (10%)
Oversee development of company web-based training and administer eLearning platform curricula.
Risk Management and Business Continuity (10%)
Oversee risk management and business continuity efforts to align with customer requirements.
Required Qualifications
Juris Doctorate from an accredited law school.
Active membership in a state bar and ability to be admitted as Florida Authorized House Counsel.
5+ years of related attorney experience, including drafting and negotiating commercial agreements, employment law matters, and supervisory/leadership experience.
Solid understanding of key issues in commercial transactions (e.g., limitation of liability, indemnification, SLAs, IP).
Solid understanding of employment law and the ability to work in a fast-paced, priority-driven, team-oriented environment.
Ability to evaluate legal strategies that meet business needs and provide proactive, practical advice.
Familiarity with data privacy laws and data protection obligations.
Business-oriented mindset with pragmatic legal problem-solving; strong written and verbal communication; excellent analytical and interpersonal skills.
Ability to manage multiple projects, meet deadlines, and use computer software effectively.
Preferred Qualifications
General business experience.
Knowledge of contract management tools and platforms (e.g., Ironclad, DocuSign CLM).
