Associate General Counsel, Commercial Affairs at Samsung SDI America Inc. is a senior in-house legal role focused on corporate and commercial matters in the automotive/battery sector.
Overview Role: Associate General Counsel, Commercial Affairs. Function: Legal leadership to provide strategic legal guidance across the organization, manage complex commercial and regulatory matters, and support corporate governance and risk management.
Responsibilities
Legal Advice and Counsel:
Provide legal advice and guidance to senior management, business units, and other departments on a wide range of legal matters. Analyze legal issues and risks associated with business strategies, transactions, and operations. Draft, review, and negotiate contracts, agreements, and other legal documents.
Legal Compliance:
Ensure compliance with applicable laws, regulations, and industry standards. Monitor regulatory developments and assess their impact on the organization. Work with compliance function to develop and implement compliance policies, procedures, and training programs.
Litigation Management:
Manage litigation matters and disputes, including working with external counsel and representing the organization in legal proceedings. Conduct legal research, prepare legal briefs, and provide strategic advice on litigation risks and settlements.
Corporate Governance:
Support corporate governance activities, including board meetings, annual reports, and regulatory filings. Advise on corporate governance best practices and compliance with corporate laws and regulations.
Intellectual Property (IP) Management:
Protect and manage the organization's intellectual property assets, including patents, trademarks, copyrights, and trade secrets. Draft and negotiate IP-related agreements, such as licensing agreements and technology transfer agreements.
Employment Law and HR Support:
Advise on employment law matters, including hiring, termination, discrimination, harassment, and employee benefits. Review and draft employment-related agreements and policies. Assist HR with employment-related disputes and investigations.
Contract Management:
Develop and maintain contract management processes and systems. Ensure proper documentation, execution, and storage of contracts. Monitor contract performance and enforce contract terms when necessary.
Risk Management:
Identify legal and regulatory risks facing the organization and develop strategies to mitigate them. Review insurance policies and assess coverage for legal risks. Implement risk management initiatives and training programs.
Internal Investigations:
Conduct internal investigations into allegations of misconduct, fraud, or regulatory violations. Coordinate with HR, compliance, and external auditors. Prepare reports and recommendations based on investigation findings.
Vendor and External Partner Management:
Review and negotiate agreements with vendors, suppliers, and external partners. Ensure compliance with legal and contractual obligations in vendor relationships.
Ethics and Corporate Social Responsibility (CSR):
Advise on ethical standards and CSR initiatives. Develop and implement CSR policies and programs aligned with the organization's values and objectives.
Special Projects and Initiatives:
Participate in special projects and initiatives as assigned by the General Counsel or senior management. Collaborate with cross-functional teams to address legal and business challenges.
Qualifications Minimum Experience Requirements
5-10+ years of experience practicing law, with a focus on corporate and commercial law.
Prior experience in a law firm, corporate legal department, or government agency; in-house experience preferred.
Experience providing legal counsel to businesses on a wide range of legal matters, including contracts, legal compliance, litigation, employment law, commercial disputes, and corporate governance.
Experience in the automotive or lithium ion battery industry or an adjacent industry.
Preferred Experience
Familiarity with board governance matters, including board meetings, resolutions, and fiduciary duties.
Required Education
Juris Doctor (JD) degree from an accredited law school.
Certifications
Certified In-House Counsel (CIC):
Offered by the Association of Corporate Counsel (ACC). Covers corporate governance, contracts, compliance, and ethics relevant to in-house practice.
