Legal Counsel – AMS Region

– Atlanta, GA Solmax is seeking a skilled and pragmatic Legal Counsel – AMS Region to join our global legal team. This mid-level role serves as a key legal partner for the Americas (AMS) region, including the United States, Canada, and Latin America. The role balances legal risk with practical solutions and acts as a strategic advisor to the AMS Leadership Team, supporting cross-functional leaders in Sales, Procurement, HR, Operations, and Finance. Success in this role requires navigating complex B2B environments with multiple products, channels, and stakeholders, while ensuring compliance and enabling sustainable growth. Key Responsibilities

Draft, review, and negotiate a wide range of agreements, including customer contracts, vendor agreements, distribution and licensing arrangements, and confidentiality agreements. Lead negotiations and provide practical guidance to simplify complex deal structures and ensure alignment with business objectives. Manage corporate governance matters, including annual resolutions, filings, and submissions of state and regional reports. Coordinate with external agents and state authorities to ensure accuracy, timeliness, and proper corporate recordkeeping. Support compliance with U.S. federal and state laws, as well as Canadian and Latin American regulatory requirements. Serve as a trusted advisor to AMS leadership and internal teams, delivering legal guidance that balances business goals with risk management. Provide day-to-day support on corporate, commercial, and employment law matters. Counsel on intellectual property protection, data privacy, and regulatory compliance programs. Deliver solutions that enable decision-making across the full customer journey. Oversee dispute resolution and litigation, including selection, engagement, and management of outside counsel. Identify and mitigate business risks while enabling growth opportunities. Develop, implement, and maintain contract templates, playbooks, and best practices to streamline legal processes and improve time-to-contract. Participate in strategic legal initiatives, including management of the intellectual property portfolio and compliance training programs. Provide training and awareness programs to internal teams to promote compliance and reduce business risks. Partner with commercial and operational teams to navigate evolving and complex business environments. Collaborate with global colleagues while maintaining the ability to act independently when required. Contribute to strategic projects that support organizational growth and efficiency. Qualifications and Skills

Juris Doctor (JD) from an accredited U.S. law school. Active bar membership in at least one U.S. state. 5–8 years of relevant legal experience, including at least 3 years in-house or advising corporate clients in a law firm. Strong background in commercial contracts, corporate law, and business transactions. Business law and transactional training, with experience in both law firm and in-house environments preferred. Experience in the construction industry is a plus. Experience working in multinational and global environments is a plus. Bilingual (Spanish or Portuguese) strongly preferred but not required.
