As a partner to the Chairman and other board members, the Board will provide leadership to Community Hand Up as it transitions from a newly formed 501(c)(3) organization into a sustainable national entity. The Board will support and sustain the work of Community Hand Up and provide governance leadership and strategic fundraising support. The Board will have the legal authority to establish policies that affect the life and work of the organization with accountability for the outcome of such decisions. The Board is

NOT

involved in the day-to-day operations of the organization, unless specifically asked by the Executive Director. They are responsible for: Policy Making Assuring the organization has enough funding Meeting legal challenges that might arise Board Members must be willing to contribute time, talent and treasure to the organization. Each Director is required to donate to the organization a financial significant gift on a yearly basis. This amount is to be decided by the individual Director and must not be above their comfort zone. An effective board member will: Know and understand what goes on both inside and outside the organization Focus on establishing policies that further the organization mission and make a difference in the community. Agree on the most effective way to operate the organization Be a team member who is fully engaged and active by Attending all meetings Providing Time, Talent and Treasure Assist in raising money Be prepared to evaluate the other Directors and the Executive Director Know and understand its role and responsibility Participating on at least one committee Attend all events Specific responsibilities include and are not limited to: Ensure the organization is meeting its mission and purpose Be effective in planning and executing the strategic plan Be an active participant in financial matters Be involved in the selection process for the Executive Director Help to build a competent board Monitor, plan and strengthen programs and services Ensure all assets are protected Know and understand all legal requirements and ensure they are being met. Monitor any ethical issues and address as needed Recruit and Vet potential Board Members including their replacements Each Director has the duty to: Use their best judgement, do not leave common sense at the door Actively participate Ask Questions Be Faithful to the Organization Avoid Conflicts of Interest Put aside person and professional interest to better the organization Follow all policies and procedures Comply and Obey all State and Federal laws Work within the scope of the organization mission Each Director is responsible for locating donors and donations for the organization. It is the responsibility of the Director to connect the Executive Director to at least 4 potential donors throughout the year.

Each Director is also responsible for attending all fundraisers held by the organization. Qualifications This is an extraordinary opportunity for an individual who is passionate about the success of Community Hand Up’s beneficiaries and who has a track record of board leadership. The selected Board Chair will have achieved leadership stature in business, government, philanthropy, or the nonprofit sector. His/her accomplishments will allow him/her to attract other well-qualified, high-performing board members. Ideal candidates will have the following qualifications: Extensive professional experience with significant executive leadership accomplishments in business, government, philanthropy, or the nonprofit sector Demonstrated success as a nonprofit board member or board chair Track record of building credibility in the funding community that has resulted in major gifts to a nonprofit A commitment to and understanding of Community Hand Up beneficiaries and mission preferably based on experience Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals Excellent written and oral communication skills coupled with a natural affinity for public speaking Personal qualities of integrity, credibility, and a passion for improving the lives of Community Hand Up beneficiaries Board of Directors meets the 3rd Tuesday at 6p via Zoom or in person during the months of January, February, March, May, July, September and November (2nd Tuesday).
