Buchanan Ingersoll & Rooney PC We have an immediate opening for a Corporate Tax Attorney with a strong background in corporate tax matters, including but not limited to mergers and acquisitions (M&A), contributions, distributions, liquidations, tax-free spin-offs and split-ups. The ideal candidate will possess expertise in debt workouts, including the consideration of cancellation of debt income and strategies to eliminate such income, as well as a solid understanding of limits on net operating losses (NOLs). Responsibilities
Advise clients on corporate tax matters related to M&A, acquisitions, contributions and liquidations Review stock and asset acquisition agreements, ensuring compliance with tax regulations Provide guidance on special considerations and restructuring relating to Subchapter S Corporations Assist in real estate tax planning for joint ventures, partnerships, LLCs and investment funds Review offering memoranda and facilitate debt restructuring processes Advise clients on like-kind exchanges, Opportunity Zone Funds and 1031 Exchange Rules Address tax controversy matters when needed, providing strategic solutions to complex issues Qualifications
Juris Doctor (JD) from an accredited law school Strong knowledge of corporate tax law, particularly in relation to M&A and real estate transactions Familiarity with tax controversy matters is a plus Excellent analytical, communication and interpersonal skills Ability to work independently and as part of a team in a fast-paced environment Salary Range: $275,000 - $325,000 BAR ADMISSION REQUIRED: New York, Pennsylvania, Florida or District of Columbia DOCUMENTS REQUIRED: Cover Letter, Resume, Transcript and Writing Sample
