A law firm seeks a seasoned Tax Attorney in Atlanta, Georgia, with 20 years of experience in mergers and acquisitions and transactional tax matters. The position involves providing expert tax planning and structuring advice for complex business transactions, including mergers, acquisitions, joint ventures, and other corporate activities. This senior-level role is ideal for a legal professional with deep tax expertise and strategic deal-making insight.
Duties
Advise corporate clients on federal, state, and international tax issues related to M&A and other business transactions. Structure and negotiate tax aspects of mergers, acquisitions, divestitures, reorganizations, and joint ventures. Draft and review tax-related provisions in transaction documents. Collaborate with corporate, finance, and real estate teams on multidisciplinary deals. Provide guidance on tax-efficient strategies for entity formation and structuring. Represent clients in tax audits and disputes, when required. Conduct legal research and prepare memoranda on evolving tax regulations and IRS guidance. Requirements
20 years of legal experience in tax law, with a strong focus on M&A and transactional matters. Deep understanding of Subchapter C and Subchapter K of the Internal Revenue Code. Experience advising private equity firms, public companies, and closely held businesses. Proven ability to manage multiple transactions simultaneously and lead client relationships. Strong track record of working on complex, high-value deals. Education
Juris Doctor (JD) from an accredited law school. Master of Laws (LL.M.) in Taxation (preferred). Certifications
Admission to the Georgia State Bar (required). Additional state bar admissions or tax-related certifications are advantageous. Skills
