Overview The mission of The University of Texas M. D. The Legal Officer will provide legal counsel, assistance, analysis, and guidance with respect to intellectual property-related legal matters and business transactions involving or affecting MD Anderson, with a particular emphasis on legal issues and agreements involving publicly and privately supported research, and transactions and legal issues related thereto. The Legal Officer will also provide assistance, analysis and legal counsel in connection with intellectual property matters and transactions involving patents, copyrights, trademarks, and trade secrets. The Legal Officer will perform other duties as necessary or desirable to assist the Legal Services Department in providing timely and effective legal services to a large academic healthcare institution.

Key Responsibilities

Draft and review standard and nonstandard research-related contracts (such as strategic alliance agreements, clinical study agreements, preclinical study agreements, collaboration agreements, consortium agreements, material transfer agreements, grant agreements and subcontracts) to ensure compliance with applicable state and federal laws, UT System rules, and institutional standards; ensure execution in accordance with UT System and Institutional requirements.

Provide legal counsel and support to the Strategic Industry Ventures Department and/or Research Agreements group within the Intellectual Property Section, collaborating with other in-house attorneys on research-related contracting matters.

Perform the functions of in-house intellectual property counsel, including client communications, drafting and analysis of opinions, memoranda, and drafting, analysis, and negotiation of agreements as appropriate, under direction of senior leaders.

Draft and negotiate intellectual property related agreements to support MD Anderson’s initiatives, with an understanding of applicable health care laws, rules and regulations.

Draft and review or supervise drafting of IP-related contracts (such as confidentiality agreements, trademark license agreements, and visiting scientist agreements) to ensure compliance with laws, rules, and institutional procedures.

Respond to requests from MD Anderson management, faculty, and staff related to IP and research-related agreements and provide timely counsel aligned with state/federal law and institutional policy.

Serve as a resource for MD Anderson in reviewing and handling IP matters (patent, copyright, trademark, and trade secrets) and represent MD Anderson in contract negotiations and meetings.

Assist in developing, preparing and delivering educational programs for MD Anderson’s faculty, staff, and employees regarding IP and legal issues.

Establish and maintain professional contacts with other MD Anderson attorneys, UT System and UT components, and outside counsel to support the Legal Services Department.

Coordinate preparation of assigned special projects for the Legal Services Department to ensure timely completion and presentation.

Maintain professional licensure, continuing education, and current knowledge of legal matters related to business and health law.

Provide institutional support and may serve on MD Anderson committees; assist with coaching and development of Legal Contract Specialists.

Perform other duties as necessary or desirable to support timely and effective legal services.

Education and Experience

Education: Juris Doctor

Preferred Education: Scientific Degree

Licensure/Certification: Must be licensed by the State Bar of Texas or another state with acquisition of Texas license within one year of hire.

Experience: Four (4) years as an attorney in a law firm, hospital/health system, academic medical center, and/or corporate business legal department with significant transactional experience and IP law background.

Skills: Excellent management, organizational, communication, interpersonal, research, writing, and negotiation skills; proficient in MS Word, Adobe Professional, and Outlook; ability to work independently and as part of a team.

Preferred Experience: Experience negotiating and drafting research-related agreements (e.g., material transfer, preclinical, clinical trial, government and foundation grant agreements, and other sponsored research agreements).
