Overview Davis Wright Tremaine LLP is seeking an experienced M&A due diligence attorney for engagement through the firm's contract attorney and alternative staffing program, DWTSurge. This contract attorney position will assist the Firm's Business & Tax group in supporting corporate transactions and due diligence in Q4 2025. Attorneys must be barred in their state of residence and in a state where the firm maintains an office. Attorneys can work remotely but must maintain West Coast business hours.

Responsibilities

Conduct comprehensive due diligence in M&A transactions, including review and analysis of contracts, corporate governance documents, financial documents, regulatory filings, real estate, IP, litigation matters, and compliance records.

Draft and negotiate transaction documents; manage disclosure schedules; support all aspects of the deal process, including closing coordination and document preparation.

Collaborate with DWT attorneys as part of a team to provide high-value legal services to institutional clients.

Requirements / Ideal Candidate

3+ years of experience supporting M&A or corporate transactions in a mid-sized or large law firm and/or with large institutional clients.

Experience conducting due diligence for M&A transactions, including detailed review of contracts, governance documents, regulatory filings, and other key documents.

Residency and active bar admission in AK, AZ, CA, CT, FL, GA, MD, MN, MT, NJ, NM, NY, OH, OK, OR, PA, RI, TN, TX, VA, WA, or DC. Active bar admission in a state where DWT maintains an office (AK, CA, NY, OR, VA, WA, or DC).

Demonstrated experience drafting, reviewing, and negotiating transactional documents.

Familiarity with corporate deal processes, including closing coordination and managing transactional deliverables.

Prior experience with legal tech tools such as DocuSign, Closing Folders, SimplyAgree, and DraftWise is preferred.

Excellent legal drafting and communication skills, including oral and written advocacy.

Strong client service orientation, ability to manage deadlines, and effective communication with clients and stakeholders about deadlines.

Proven ability to meet tight deadlines and manage multiple priorities in time-pressured situations.

Ability to work remotely and primarily support West Coast hours.

Flexibility to adjust hours week-to-week based on work availability.

Excellent writing skills, attention to detail, and ability to produce high-quality work with minimal supervision.

Compensation and Engagement This is a temporary contract position managed by DWTSurge. Compensation will be paid hourly, commensurate with experience. This role may be eligible for some benefits. DWTSurge employees are not eligible for the firm's pro bono, DEI, or other activities outside the stated scope.

The role is 3 months with potential extensions or future opportunities; candidates may be considered for additional engagements. The position offers remote work with West Coast hours and variable hours depending on deal activity.

Salary Range The hourly range for this position in CA, MD, MN, NY, OR, WA, and DC is $100 to $120 per hour. Actual pay will be adjusted based on experience and other factors permitted by law.

Additional information WASHINGTON STATE AND CALIFORNIA STATE: Paid sick leave is accrued on a biweekly basis at 1 hour per 30 hours worked.
