Overview Legal Counsel-Executive Compensation & Benefits (Northfield, IL) at Medline Industries, LP. This role focuses on securities law as it relates to executive and director compensation, equity, and benefits programs. The Attorney will oversee all legal aspects of the company’s Executive and Director compensation programs and, with the Corporate Secretary and Compensation team, manage the Compensation Committee of the Board of Directors for compliance with SEC listing requirements, best practices, and emerging trends. The Attorney will also support other securities and corporate governance matters, collaborating with Legal, Compensation, External Reporting, Corporate Accounting, Finance, and Investor Relations teams.

Core Job Responsibilities

Compensation And Benefits Matters

– Advise and assist cross-functional partners, senior management, and the Compensation Committee on compensation and benefits matters, including:

Executive and broad-based compensation program design and structure; assess impact on internal and external stakeholders

Compensation practices and evolving legal requirements and best practices

Company-wide stock-based compensation programs (strong technical knowledge of relevant U.S. federal tax and securities laws required)

ERISA and federal tax laws related to employee benefit, health, welfare plans and wellness initiatives

Defined contribution plans and non-qualified plans, including 401(k) (Section 409A experience preferred)

Securities Matters

– Advise on securities regulation matters, including:

Leading drafting of the Compensation Disclosure & Analysis and supporting proxy statement disclosures

Assisting with Exchange Act compliance and disclosure, including Form S-8 registrations, Form 8-Ks, and review of Form 10-Ks and 10-Qs (with focus on compensation and benefits)

Overseeing Section 16 and Section 13 compliance and related filings

Support for stock trading plans, insider trading issues, and management of the insider trading policy

Corporate Governance

– Advise on governance matters related to compensation and benefits, including:

Assist Corporate Secretary with Compensation Committee materials, resolutions, communications, and minutes

Support best practices in corporate governance and compliance with laws and listing standards

Review stockholder proposals; support Board and Committee approvals

Advise on state corporate law and stock exchange listing standards

Engage with investors and proxy advisors; assist annual stockholders meeting planning

Coordinate with senior executives and Board members on actions and follow-up

Qualifications

Education

– Juris Doctor degree from an accredited law school and top academic credentials.

Licensure

– Licensed to practice in Illinois or licensed and in good standing in another state with ability to become licensed in Illinois.

Experience

– Minimum 4 years of experience practicing securities and corporate governance with emphasis on compensation and benefits, at a major law firm or public corporation. Strong business and legal judgment; ability to provide practical, business-focused advice.

– Excellent communication and presentation skills; ability to stay informed of emerging legal developments and governance risks; strong interpersonal and organizational skills; proactive and team-oriented.

Compensation and Benefits Anticipated salary range: $152,880.00 - $229,320.00 annually. Actual salary varies based on location, education, experience, skills, and abilities. This role is bonus and/or incentive eligible. Medline will not pay less than applicable minimum wage or salary threshold. The benefits package includes health insurance, life and disability, 401(k) contributions, paid time off, and more. Roles with fewer than 30 hours per week have pro-rated benefits where applicable.
