Identify, analyze, and address legal risks for company projects and initiatives Provide legal advice and analysis to every team at the company, including the executive leadership team Structure, draft, and negotiate commercial contracts, R&D agreements, supply agreements, and consulting agreements Work on collaboration agreements with business partners around the world, including joint development agreements, manufacturing agreements, and special purpose vehicles Support company through the full lifecycle of debt and equity financings Manage investor diligence requests and support ongoing investor relations Work with Finance team to manage cap table, equity grants, and related agreements Draft resolutions and other materials for Amogy’s Board of Directors Work with Corporate Secretary to advise Amogy Board on matters of corporate governance Advise People team on employment issues Analyze legal and regulatory developments impacting the company Advise senior leadership on corporate structure domestically and internationally Liaise between internal teams and third parties to ensure alignment between relevant stakeholders Work with and manage outside counsel Requirements
The minimum requirements we seek: J.D. from an accredited law school and license to practice in at least one U.S. jurisdiction 4+ years of legal experience Experience drafting and negotiating contracts Self-starter with a “take ownership” attitude and ability to learn quickly on the job Ability and desire to learn about Amogy’s technology, including high-level engineering concepts Strong communication skills; ability to explain complex legal issues to non-lawyers in simple terms Preferred Experience
Previous in-house experience Experience on commercial contracts, IP transactions, manufacturing agreements, supply agreements, or special purpose vehicles Experience working with or in the energy, manufacturing, or chemical industries Experience working on regulatory counseling, international trade, corporate structuring, cross-border transactions, debt and equity financings, or IP development Experience working with engineers or other technologists Experience working at a startup or with startup clients What We Offer
