Associate General Counsel
to join our Legal & Regulatory team. Reporting to the Chief Legal Officer, this role provides high‑quality legal counsel on a broad range of matters across Feed the Children’s global operations, ensuring compliance with nonprofit legal and regulatory frameworks, supporting governance matters, and giving guidance on contracts, data privacy, employment and labor laws, investigations, and related topics. Note:
The ideal candidate will work from our corporate office in Oklahoma City, OK, but qualified remote candidates residing in Texas, the East Coast, or the DMV area will be considered. Salary range:
$150k-$175K (commensurate with experience) Location and travel : Office-based with remote consideration for eligible regions as noted above. Job Requirements
Education
— Juris Doctor (J.D.) from an accredited law school required. Experience
— 5+ years of relevant legal experience with nonprofit or mission‑driven organizations required; international experience (preferably in Africa, Central America, and/or Asia) required; proven familiarity with legal and regulatory requirements for a 501(c)(3) organization; experience in employment and commercial litigation and investigations (ideally mix of law firm and in‑house). Strong knowledge of commercial matters, contracts, employment law, and data privacy; experience with donor and grant agreements and commercial co‑venture agreements strongly preferred. Demonstrated ability to train and influence stakeholders at all levels of leadership; ability to work independently and in cross‑functional teams; excellent written and verbal communication; strong analytical and problem‑solving skills; highly organized and able to manage multiple projects under tight deadlines. Familiarity with AI‑driven legal tools (e.g., document summarization, intake automation) preferred; advanced Microsoft Office skills; strong ethical standards and discretion with confidential information. Active bar license in good standing or eligibility for admission upon motion without examination preferred. Essential Functions
Legal Guidance
— Provide strategic advice on legal and regulatory requirements for a 501(c)(3), including governance, contracts, litigation, data privacy, employment laws, internal investigations, and related topics; support fundraising by advising on legal aspects of campaigns, donor agreements, sponsorships, charitable fundraising, CCVs, and regulatory compliance; ensure compliance with state charitable solicitation and registration laws; draft and review legal agreements, documents, filings, and reports; monitor regulatory changes and industry trends; develop and deliver staff training on legal and compliance topics. Governance, Regulatory, & Policies
— Advise on corporate governance matters, ensure compliance with bylaws and laws, support executive leadership and the Board; provide guidance on nonprofit tax issues and IRS compliance; advise on governance risks and restructuring when necessary. Litigation and Investigation Support
— Oversee litigation and threats globally; manage relationships with external counsel; coordinate with International Offices on strategy; manage litigation holds and document production; maintain the Litigation/Liabilities Tracker; conduct training on litigation and dispute management; conduct/internal investigations as needed. Contract Review and Management
— Draft, review, and negotiate donor, technology/IT, cause marketing, IP licensing, vendor/independent contractor agreements, NDAs, leases, etc.; lead development of contract forms and processes; provide business‑friendly risk assessments. Compliance Monitoring & Risk
— Lead governance compliance reviews; identify and mitigate legal and reputational risks; collaborate with stakeholders to minimize exposure. Intellectual Property
— Oversee trademark matters with outside counsel; protect and advise on the organization’s brands and IP. Capacity Building & Training
— Prepare and deliver legal training; develop onboarding modules; support country offices in policy alignment. Policy Management & Standardization
— Develop and maintain powers of attorney/delegations of authority and policy templates. Employment & Labor Law
— Ensure compliance with employment laws and internal policies; advise on sensitive personnel matters; draft policies and employment agreements; collaborate on global HR policy alignment. Data Privacy & Security
— Advise on data privacy laws and security measures. Other requirements
— Demonstrated ability to influence and lead in line with organization values; strong communication skills; ability to foster collaboration and high performance; perform other duties as required. Licenses and Certifications
