Job Description Our client, a global Am Law 50 firm, is seeking a mid-level Associate (3–6 years) to join its leading M&A Group. This is a unique opportunity to work on headline-grabbing public company M&A transactions within the firm’s nationally recognized Technology, Life Sciences, Real Estate, and Financial Services practices. You will be responsible for conducting due diligence, drafting and negotiating transaction documents, and providing counsel on regulatory compliance and corporate governance matters. Responsibilities
Advise clients on complex M&A transactions, with a focus on public company deals (sell-side and buy-side). Provide counsel on securities law issues related to M&A and other public company transactions. Collaborate across practice areas, including technology and life sciences industry groups. Support clients as a trusted advisor through all phases of transactions, including structuring, diligence, negotiation, and execution. Develop a broad, versatile skill set working with a team of top-tier attorneys on high-profile matters. Requirements Juris Doctor (JD) from an accredited law school. Admitted to practice in New York, Massachusetts, Illinois, Texas or California, depending on office. 3–6 years of relevant M&A and transactional experience at an Am Law 100–200 firm. Strong background in public company M&A transactions and securities law. Experience with clients in the Technology and/or Life Sciences sectors is a plus. Excellent academic credentials and strong drafting, negotiation, and analytical skills. Currently an Associate at an Am Law 100–200 firm. Law school graduation: Class years 2019–2022. No visa sponsorship available. No security clearance required. Benefits Base Salary:
$260,000 – $390,000 (top-of-market). Bonus:
