Our client is seeking a highly skilled
Private Investment Fund / Investment Management Counsel
to join our legal team. The ideal candidate will have a minimum of
7 years of experience
advising on the formation and operation of
private investment funds , gained at a
top-tier law firm ,
in-house legal department , or both. In this role, you will work closely with fund sponsors and investment professionals on structuring, forming, and managing private investment funds across various asset classes. You will provide strategic legal counsel on fund terms, documentation, and regulatory compliance, helping to shape the business and legal framework for sophisticated investment vehicles. Key Responsibilities: Advise private fund sponsors on all aspects of fund formation, structuring, and operation. Draft, negotiate, and review core fund documentation, including: Limited Partnership Agreements (LPAs) Subscription Agreements Counsel clients on relevant U.S. securities laws and regulatory issues, including Investment Advisers Act and Investment Company Act considerations. Provide guidance on fundraising strategies and marketing restrictions (e.g., Regulation D, AIFMD, etc.). Review fund documentation and co-investment agreements on behalf of institutional investors. Support ongoing fund operations, including amendments, compliance matters, and investor relations issues. Collaborate with cross-functional teams including compliance, investor relations, and finance. Qualifications: J.D. from an accredited law school
and licensed to practice in at least one U.S. jurisdiction. 7+ years of relevant experience
in private investment fund formation and related legal work. Strong understanding of private fund structures, fund terms, and key legal and commercial considerations. Familiarity with regulatory frameworks applicable to fund sponsors and advisers (e.g., SEC, CFTC, FINRA). Experience advising on co-investments and reviewing fund documents on behalf of institutional investors is a plus. Excellent drafting, negotiation, and communication skills. Ability to work independently and manage multiple projects simultaneously in a fast-paced environment. Preferred Background: Experience working with
private equity ,
venture capital ,
credit ,
real estate , or
hedge fund
sponsors. Previous in-house experience at an investment manager, fund sponsor, or institutional investor. Exposure to international fund structures and global regulatory considerations The base pay range for this position is $220,000.00/yr - $300,000.00/yr.
