Reporting to the General Counsel, the Corporate Counsel role is responsible for handling various aspects of the legal portfolio of the company, while identifying and mitigating risk. The Corporate Counsel will provide legal guidance on a variety of matters organization-wide, including a heavy focus on negotiating and managing client, vendor, and supplier contracts, reviewing and writing internal legal contracts, and handling other associated matters for the company.
The incumbent will also support the commercial functions of the company and other functions as needed. This role has the opportunity to develop into additional practice areas including international trade and labor and employment, depending on the interest of the candidate and the needs of the business.
PRIMARY RESPONSIBILITIES:
Contract Management
Manages, reviews, and negotiates third-party, vendor, purchasing, and customer contracts.
Oversees active and prospective supplier contracts.
Works alongside the sales and product development teams to ensure compliance while facilitating business needs.
Handles key contract callouts for customers, including tracking and updating stakeholders on key requirements, addressing renewal requirements, and identifying annual obligations/requirements within the contracts.
Provides commercial support and legal advice to cross-functional company teams.
Reviews and advises on cybersecurity policy, data privacy agreements, software licensing agreements, and various other Information Technology items, including internal company IT policies (data retention, information security, etc.).
Manages real estate, building, and equipment leases.
Drives the implementation of a Contract Lifecycle Management system and other legal tech related tools.
General
Oversees legal matters for the business, including acting as legal representative.
Oversees trademark registration, infringement, and intellectual property.
Drafts and/or reviews NDAs for various company projects.
Provides legal counsel and guidance to various business units and executives on various matters such as legal rights and new/existing laws as they pertain to relevant business matters.
Evaluates gaps in existing policies and/or practices.
Identifies and mitigates risk; provides direction and oversight for dealing with potential issues.
Proactively seeks solutions and better practices to mitigate risk.
Maintains knowledge of the organization’s operations and legal documents.
Acts as the gatekeeper of incoming legal documents and controls related internal communication to the extent necessary.
Handles statutory filings, such as licensing forms.
Monitors applicable federal, state, and international laws, rules and regulations and proactively advises business partners on changes, and provides training as needed.
Collaborates with the compliance teams on drafting, implementing, and maintaining internal compliance policies and procedures
Ensures compliance with local, state, and federal laws and regulations.
Handles communications with external parties, including regulators and external counsel.
ESSENTIAL QUALIFICATIONS:
Juris Doctor (JD) degree from an accredited law school and active bar licensure in at least one state is required
Minimum of 5 years of proven experience as a general attorney or similar role, ideally a mix of law firm and in-house
Experience in consumer products, labor & employment, operations and/or procurement experience preferred but not required
Strong knowledge of various areas of law, including but not limited to contracts, litigation, regulatory, workers compensation, general liability, licensing, and trademark
Ability to develop and implement legal strategies and solutions
Exceptional legal research and analytical skills
Strong negotiation and advocacy skills
Ability to manage multiple projects and prioritize tasks effectively
