Overview
Our client, a highly regarded law firm, is seeking a senior attorney to advise corporate clients and private equity funds on complex transactions and general corporate matters. This role is ideal for an attorney with a strong M&A background, a business development mindset, and the ability to work with a high degree of autonomy while maintaining direct client contact.
Key Responsibilities
Advise clients on acquisitions, dispositions, minority investments, joint ventures, and other strategic transactions.
Counsel on general corporate matters, including corporate governance and compliance.
Manage all phases of M&A transactions, from term sheet to closing.
Draft, review, and negotiate key transaction documents, including purchase agreements, shareholder agreements, and other related contracts.
Collaborate with clients, opposing counsel, and internal teams to ensure smooth deal execution.
Build and maintain strong client relationships, with an emphasis on business development and client retention.
Qualifications
J.D. from an accredited law school; admitted to practice in [Insert Jurisdiction(s)].
Class year 2015+ or Of Counsel level.
Significant experience leading M&A transactions and drafting transaction documents.
Solid understanding of corporate law, market terms, and deal structuring.
Proven ability to manage transactions independently and effectively.
Strong interpersonal skills, entrepreneurial mindset, and commitment to client service.
