CGS is a conglomeration of companies providing multiple technology-related services, with disparate, but related, businesses – software licensing, business process outsourcing, enterprise learning/training, AR/VR products, etc. The ongoing legal needs of CGS involve a broad array of specialties, including corporate; contracts/transactional; technology/licensing; labor and employment; commercial litigation; intellectual property – global portfolio of patents, trademarks; finance, etc. CGS’ Corporate Legal Dept. is currently seeking an attorney for the position of Assistant General Counsel to join our office. Responsibilities

Represent CGS in diverse areas of the law, including contracts, technology, litigation, regulatory, IP and related matters. Drafting, reviewing and negotiating contracts and other binding agreements. Provide legal advice and guidance on technology contracts/matters. Provide legal advice and guidance on outsourcing contracts/matters. Provide legal advice and guidance related to intellectual property issues. Analyze statutes, regulations and procedures. Work with Human Resources on personnel and employment matters. Supervise litigation/disputes handled by outside counsel. Advise on compliance matters. Assist on corporate governance matters for a private company comprised of multiple global legal entities, subsidiaries and affiliates. Supervise responses to requests for information and subpoenas. Communicate independently with outside counsel and representatives of outside agencies. Assist the General Counsel in connection with various matters under his direction and oversight. Perform other duties as assigned. Requirements

3-7 years of relevant experience; preferably (but not required) a combination of law firm and in-house experience. Strong interpersonal and leadership skills. Requires a Juris Doctor from an accredited law school and membership in the State Bar as an attorney qualified to practice law in this state. Work Environment
