Filion Capital is seeking a pragmatic and skilled
Legal Counsel
to serve as a key in-house legal advisor to our investment team and executive leadership. This role will be instrumental in supporting the firm's global investment activities, from deal execution and fund formation to portfolio management and regulatory compliance. The ideal candidate is a transactional attorney who can manage complex processes, mitigate risk, and provide strategic legal guidance that facilitates, rather than impedes, business objectives. This position offers broad exposure to the entire lifecycle of private equity investing within a fast-paced, growing firm. Key Responsibilities
Support the end-to-end execution of transactions, including reviewing and negotiating NDAs, term sheets, purchase agreements, credit agreements, and other ancillary documents. Manage the legal due diligence process for potential investments, working closely with external counsel and the investment team to identify and assess key legal risks. Assist in the formation and maintenance of investment funds and other vehicles, including reviewing and negotiating LPA side letters and other investor-related documents. Provide ongoing legal support for portfolio companies, including advising on corporate governance, contract negotiations, and other general corporate matters. Draft, review, and negotiate a wide variety of commercial contracts for the management company, including vendor, office lease, and confidentiality agreements. Partner with the Chief Compliance Officer to help ensure the firm's adherence to applicable securities laws and regulations. Manage and coordinate external legal counsel across multiple jurisdictions to ensure efficient and cost-effective service. Develop and maintain template documents and legal processes to improve the efficiency and scalability of the firm's operations. About Filion Capital

Juris Doctor (J.D.) degree from an accredited law school and admission to a state bar (Texas preferred). 3-6 years of relevant experience gained at a top-tier law firm and/or in-house at a private equity firm, asset manager, or financial institution. Substantial experience in mergers and acquisitions and/or private equity transactions is required; experience with fund formation is a strong plus. Strong understanding of corporate law, securities regulations, and contract principles. Excellent negotiation, drafting, and analytical skills. Ability to clearly communicate complex legal concepts to business professionals and provide practical, risk-weighted advice. High degree of professional integrity and sound judgment. Proactive, business-oriented mindset with the ability to manage multiple projects in a fast-paced, entrepreneurial environment. Interest in or experience with global transactions, particularly in emerging markets, is highly desirable. What We Offer
